Terms of Service

1. Description of Service

PagesToMD is a web-based document conversion service that allows users to:

• Convert documents from various formats (including Microsoft Word/.docx, PDF, OpenDocument/.odt, and Apple Pages/.pages) to Markdown format
• Convert AI-generated markdown content to Word document format
• Process multiple documents in batch (up to 100 files per batch for premium users)
• Download converted files individually or as a ZIP archive

The Service processes your documents temporarily for the sole purpose of conversion and does not permanently store your files after the conversion process is complete.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. We use email-based authentication (magic links) to verify your identity. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your email account used for authentication
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only to convert documents that you own or have the legal right to convert.

4.2 Prohibited Conduct

You agree NOT to:

• Upload, convert, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Upload content that infringes any patent, trademark, trade secret, copyright, or other intellectual property rights of any party
• Upload content containing malware, viruses, or any other malicious code
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Use the Service to process documents containing sensitive personal information of third parties without proper authorization
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated systems, bots, or scripts to access the Service in a manner that sends more requests than a human can reasonably produce
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Resell, sublicense, or commercially exploit the Service without our express written consent
• Circumvent any usage limits, access controls, or security measures

4.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

5. Subscription Plans, Pricing, and Payment

5.1 Free Tier

We offer a free tier that includes a limited number of conversions. Free tier users receive 3 document-to-markdown conversions and a limited number of AI-to-Word conversions. No payment information is required for the free tier.

5.2 Paid Plans

We offer the following paid subscription options:

• Pro (Weekly Pass): A one-time purchase providing 7 days of unlimited access to all features
• Pro+ (Monthly Subscription): A recurring monthly subscription providing unlimited access to all features, including priority email support

Pricing is displayed on our pricing page and is subject to change. We will provide notice of any price changes before they take effect for existing subscribers.

5.3 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge your payment method for the applicable fees.

5.4 Billing

• Weekly Pass: Charged as a one-time payment at the time of purchase
• Monthly Subscription: Charged automatically on a recurring monthly basis until cancelled

You are responsible for paying all applicable taxes in addition to the subscription fees.

5.5 Subscription Cancellation

You may cancel your monthly subscription at any time through your account settings or by contacting us at support@pagestomd.com. Upon cancellation:

• You will retain access to premium features until the end of your current billing period
• Your subscription will not renew for the next billing period
• No partial refunds will be issued for the remaining time in your current billing period

5.6 Refund Policy

• Weekly Pass: Due to the short-term nature of this product, refunds are generally not provided. However, if you experience technical issues that prevent you from using the Service, please contact us within 48 hours of purchase to discuss your situation.
• Monthly Subscription: If you are dissatisfied with the Service, you may contact us within 7 days of your initial subscription purchase to request a refund. Refunds are not available after the 7-day period or for subsequent billing cycles.

We reserve the right to issue refunds or credits at our sole discretion.

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to the documents and content you upload to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to process Your Content solely for the purpose of providing the conversion service to you.

We do not claim any ownership rights to Your Content. Your documents remain yours before, during, and after the conversion process.

6.2 Data Handling

Your files are processed in memory for conversion purposes only. We do not permanently store your uploaded documents or converted files on our servers after you have downloaded them. Files are automatically deleted from our processing systems after the conversion session ends.

6.3 Our Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology (excluding Your Content), is and will remain the exclusive property of PagesToMD and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

6.4 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONVERSIONS OR OUTPUT
• WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS

YOU ACKNOWLEDGE THAT:

• Document conversion may not be perfect, and some formatting, content, or elements may not convert accurately
• The quality of conversion depends on the quality and complexity of the source document
• You are responsible for reviewing converted documents for accuracy before relying on them

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1 Exclusion of Damages

IN NO EVENT SHALL PAGESTOMD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your content
• Damages resulting from any interruption or cessation of the Service
• Damages resulting from errors, inaccuracies, or omissions in converted documents
• Any other damages arising out of or in connection with your use of the Service

8.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF:

• The total amount you paid to us in the twelve (12) months preceding the claim, OR
• One hundred US dollars ($100)

8.3 Basis of the Bargain

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN PAGESTOMD AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless PagesToMD and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your Content or any content you upload, including any claim that Your Content infringes the intellectual property rights of a third party
• Your violation of any third-party rights or applicable laws

10. Termination

10.1 Termination by You

You may stop using the Service at any time. You may delete your account by contacting us at support@pagestomd.com.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Extended periods of inactivity
• Request by law enforcement or government agencies

10.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account information and any associated data
• Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity provisions, and limitations of liability

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@pagestomd.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may pursue formal proceedings.

11.2 Binding Arbitration

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be finally settled by binding arbitration. The arbitration shall be conducted in the English language.

11.3 Class Action Waiver

YOU AND PAGESTOMD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in court for matters related to intellectual property rights or unauthorized access to the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in your jurisdiction of residence, without regard to its conflict of law provisions, except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on the Service with a new "Last Updated" date
• Sending an email notification to the address associated with your account (for material changes)

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

14. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or applications that are not owned or controlled by PagesToMD (such as Stripe for payment processing).

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by your use of any third-party services.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and PagesToMD regarding the Service.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

15.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

15.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and PagesToMD.

15.6 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
